The VP, Corporate Tax Director will be responsible for the entirety of the company’s global tax function. This includes developing and executing a comprehensive global tax strategy, ensuring worldwide compliance, managing tax reporting and accounting, and leading tax planning initiatives that align with the company’s strategic objectives. The VP, Corporate Tax Director will have a broad and impactful range of responsibilities, encompassing all facets of the corporate tax lifecycle. Your leadership will be crucial in navigating the complexities of global tax regulations and optimizing the company’s tax position while ensuring unwavering compliance and mitigating risk.

Global Tax Strategy and Planning

Develop, implement, and maintain the company’s global tax strategy in alignment with its business goals. Proactively identify and execute tax planning opportunities to minimize tax liabilities and manage the effective tax rate. Provide strategic tax guidance on all major corporate initiatives, including mergers and acquisitions (M&A), divestitures, corporate reorganizations, and international expansion. Lead tax due diligence, structuring, and post-acquisition integration efforts.

Tax Accounting and Financial Reporting

Oversee the quarterly and annual global income tax provision process in accordance with Accounting for Income Taxes (ASC 740). Ensure the accuracy and timeliness of all tax-related disclosures in SEC filings (10-K, 10-Q). Maintain and strengthen internal controls over the tax accounting process to ensure SOX 404 compliance. Liaise with external auditors on all tax-related matters.

Compliance and Reporting

Manage the company’s global tax compliance function, ensuring all federal, state, local, and international tax returns are filed accurately and on time. This includes income taxes, sales and use taxes, property taxes, and other indirect taxes. Stay abreast of changes in tax laws and regulations globally and assess their impact on the company.

Transfer Pricing

Develop, implement, and defend the company’s global transfer pricing policies and documentation. Ensure intercompany transactions are conducted at arm’s length and are compliant with OECD guidelines and local country regulations. Work with external advisors to prepare and maintain robust transfer pricing studies.

Tax Controversy and Audits

Lead and manage all tax audits and inquiries from tax authorities worldwide, including the IRS, state, and foreign jurisdictions. Develop and implement strategies to effectively defend the company’s tax positions. Build and maintain positive relationships with tax authorities.

Team Leadership and Development

We are seeking a candidate with a distinguished career in corporate tax who possesses a unique blend of deep technical knowledge, strategic thinking, and inspirational leadership qualities. The following qualifications are essential for success in this role:

Education

Bachelor’s degree in Accounting, Finance, or a related field is required. A Certified Public Accountant (CPA) license is mandatory. A Master’s degree in Taxation (MST) or a Juris Doctor (JD) with a Master of Laws (LLM) in Taxation is strongly preferred.

Experience

A minimum of 15+ years of progressive corporate tax experience, with a combination of experience in a “Big 4” public accounting firm and in-house leadership roles. At least 7 years of experience leading a tax function within a U.S. based, multinational, publicly-traded company is required. Direct experience in the technology or software industry is highly desirable.

Technical Expertise

Demonstrated mastery of complex tax accounting principles under U.S. GAAP, particularly ASC 740. Deep expertise in U.S. federal, state, and international tax law, including areas such as transfer pricing, M&A, Subpart F, GILTI, BEPS, and foreign tax credits. Proven experience managing global tax compliance and controversy.

Leadership Skills

A proven leader with experience building, managing, and mentoring high-performing teams. Ability to set a clear vision for the tax department and inspire the team to achieve excellence.

Communication and Interpersonal Skills

Exceptional written and verbal communication skills. The ability to distill complex tax issues into clear, concise, and understandable terms for non-tax professionals, including executive leadership and the Board of Directors. Strong executive presence and the ability to build credibility and influence at all levels of the organization.
