As the Vice President of Corporate Tax Operations, you will have a broad and impactful scope of responsibilities, overseeing all aspects of the global tax function. Your leadership will be crucial in ensuring the company’s tax strategies are aligned with its business objectives while maintaining the highest standards of compliance and ethical conduct.

Global Tax Strategy & Planning

  • Develop, implement, and maintain the company’s global tax strategy in alignment with its long-term business goals, ensuring tax efficiency and risk mitigation.
  • Proactively identify and analyze potential tax planning opportunities and risks arising from new legislation, business expansion, M&A activities, and operational changes.
  • Lead strategic initiatives related to international tax structuring, transfer pricing, and the optimization of the company’s legal entity structure.
  • Provide expert tax counsel to senior management on the tax implications of major corporate decisions, including acquisitions, divestitures, and strategic investments.
  • Monitor global tax developments, including OECD/BEPS initiatives, and assess their impact on the company, recommending and implementing necessary adjustments to strategy and operations.

Tax Compliance & Reporting

  • Oversee the entire global tax compliance process, ensuring accurate and timely filing of all federal, state, local, and international tax returns.
  • Manage relationships with external auditors and tax advisors, directing the preparation of required documentation and defending the company’s tax positions.
  • Serve as the primary point of contact for all tax audits and inquiries from tax authorities worldwide, leading the defense strategy and negotiating resolutions.
  • Ensure robust internal controls are in place and operating effectively for all tax processes to comply with Sarbanes-Oxley (SOX) requirements.

Tax Provision & ASC 740

  • Lead the quarterly and annual global income tax provision process in accordance with ASC 740 compliance for SEC reporting (Forms 10-Q and 10-K).
  • Ensure the accurate calculation and reporting of the effective tax rate, current and deferred taxes, and uncertain tax positions (FIN 48).
  • Prepare and review detailed tax footnotes and disclosures for financial statements, ensuring clarity and accuracy for investors and regulators.
  • Collaborate closely with the corporate accounting and FP&A teams to ensure tax implications are properly integrated into financial forecasts and models.

Team Leadership & Development

  • Lead, mentor, and develop a high-caliber global tax team, fostering a culture of collaboration, excellence, and continuous professional growth.
  • Set clear goals and performance expectations for the tax department, providing regular feedback and coaching to team members.
  • Champion the professional development of the team, identifying training needs and providing opportunities for advancement.
  • Structure the tax department effectively to support the company’s scale and global footprint, ensuring resources are allocated efficiently.

M&A and Special Projects

  • Lead tax due diligence for potential mergers, acquisitions, and other corporate transactions, identifying risks and opportunities.
  • Provide strategic tax input on transaction structuring to optimize post-acquisition tax outcomes.
  • Oversee the tax integration of acquired companies, ensuring a smooth transition and alignment with the parent company’s tax policies and procedures.
  • Manage various special projects, including transfer pricing studies, R&D tax credit analyses, and other initiatives to enhance tax efficiency.

Requirements for the VP, Corporate Tax Operations with a Public Technology Firm – San Jose, CA

Education & Certifications

  • Bachelor’s degree in Accounting, Finance, or a related field is required.
  • Certified Public Accountant (CPA) designation is required.
  • Master’s degree in Taxation (MST) or a Juris Doctor (JD) with an LL.M. in Taxation is highly preferred.

Professional Experience

  • A minimum of 15+ years of progressive corporate tax experience, with a significant portion spent in a leadership role within a multinational, publicly-traded company.
  • Experience in the technology, software, or SaaS industry is strongly preferred.
  • A combination of ‘Big 4’ public accounting experience and in-house corporate tax experience is highly desirable.
  • Demonstrated experience managing all facets of a global tax function, including strategy, compliance, provision, transfer pricing, and controversy.
  • Proven track record of successfully leading and developing large, geographically dispersed teams.
  • Extensive experience with M&A, including due diligence, structuring, and post-acquisition integration.

  • Deep technical expertise in U.S. federal, state, and international tax law, with a comprehensive understanding of ASC 740.
