Key Responsibilities of VP, Corporate Development with a Public Technology Firm – Dallas, TX

The Vice President of Corporate Development will have a broad and impactful mandate, overseeing all aspects of the company’s inorganic growth initiatives. Success in this role requires a hands-on approach combined with high-level strategic vision.

Mergers & Acquisitions (M&A) Strategy and Execution

  • Develop and refine the company’s M&A thesis in alignment with overall corporate strategy, market trends, and long-term vision.
  • Lead the end-to-end M&A process, including proactive opportunity sourcing, target identification, and initial outreach to potential acquisition targets.
  • Conduct rigorous strategic and financial analysis of potential targets, including building detailed valuation models (DCF, comparable company, precedent transactions) and assessing potential synergies.
  • Lead and orchestrate comprehensive due diligence efforts, coordinating with internal cross-functional teams (Finance, Legal, Product, Engineering, HR) and external advisors (investment banks, law firms, accounting firms).
  • Structure complex deal terms and lead negotiations of letters of intent (LOI), definitive purchase agreements, and other ancillary legal documents.
  • Prepare and present detailed investment proposals, strategic rationales, and risk assessments to the executive leadership team and the Board of Directors for approval.

Strategic Partnerships & Alliances

  • Identify, evaluate, and cultivate strategic partnerships and alliances that extend the company’s market reach, enhance its product offerings, and create new revenue streams.
  • Structure and negotiate complex partnership agreements, joint ventures, and strategic investments that align with the company’s strategic objectives.
  • Build and maintain a strong network of relationships with industry leaders, venture capitalists, investment bankers, and other key ecosystem players.

Corporate Strategy & Market Intelligence

  • Continuously monitor and analyze the competitive landscape, emerging industry trends, and disruptive technologies to identify potential opportunities and threats.
  • Provide insightful analysis and thought leadership to the executive team on market dynamics, helping to shape the company’s strategic direction.
  • Collaborate with product and strategy teams to evaluate build vs. buy vs. partner decisions for new market and product adjacencies.

Post-Merger Integration (PMI) Leadership

  • Work closely with a dedicated integration management office (IMO) to develop and oversee comprehensive post-merger integration plans.
  • Ensure the strategic rationale and financial objectives of each acquisition are realized through a disciplined and effective integration process. According to industry analysis, a well-structured approach to successful M&A integration is critical for value creation.
  • Monitor the performance of acquired businesses and partnerships, providing regular updates and reports to senior leadership.

Educational & Professional Experience
