This is a highly visible, executive-level position reporting directly to the Chief Financial Officer (CFO), with significant exposure to the CEO and the Board of Directors. The Head of Corporate Development will be the central force behind identifying, evaluating, and executing strategic acquisitions, investments, and partnerships that align with the company’s long-term vision. You will be responsible for the entire M&A lifecycle, from developing the strategic roadmap and sourcing opportunities to negotiating definitive agreements and overseeing post-merger integration.

Key Responsibilities of Head of Corporate Development with a FinTech Company – Charlotte, NC

M&A Strategy and Execution

Develop and refine the company’s inorganic growth strategy in collaboration with the executive leadership team. Proactively source, identify, and evaluate potential acquisition targets, strategic investments, and joint venture opportunities that align with strategic priorities.

End-to-End Deal Management

Lead all aspects of the transaction process, including initial screening, financial modeling and valuation, comprehensive due diligence, structuring, and negotiation of terms. You will be the primary point of contact for all deal-related activities, ensuring a seamless and efficient process from inception to closure.

Financial Modeling and Valuation Analysis

Construct and manage complex financial models to analyze potential transactions, including discounted cash flow (DCF), comparable company analysis, precedent transaction analysis, and accretion/dilution models. Present findings and recommendations to senior leadership in a clear and compelling manner.

Due Diligence Leadership

Quarterback the entire due diligence process by coordinating a cross-functional team of internal stakeholders (including Finance, Legal, Product, Technology, and HR) and external advisors (such as investment banks, law firms, and accounting firms). Synthesize findings to identify key risks and opportunities.

Negotiation and Closing

Lead the negotiation of key transaction terms and legal documentation, including letters of intent (LOIs), term sheets, and definitive purchase agreements. Work closely with legal counsel to ensure the company’s interests are protected while driving towards a successful close.

Post-Merger Integration (PMI)

Collaborate with a dedicated integration team to develop and execute a detailed post-merger integration plan. Ensure the strategic rationale of the acquisition is realized by tracking key performance indicators (KPIs) and facilitating a smooth transition for the acquired company’s team and technology.

Market Intelligence and Competitive Landscape

Serve as the internal expert on the FinTech market. Continuously monitor industry trends, emerging technologies, venture capital activity, and competitor strategies to identify potential opportunities and threats. Provide regular, insightful updates to the executive team.

Strategic Partnerships

In addition to M&A, identify and cultivate strategic partnerships and alliances that can accelerate product roadmaps, expand market reach, and enhance the company’s competitive advantage.

Executive and Board Communication

Prepare and present strategic analyses, deal summaries, and recommendations to the executive team and Board of Directors. Develop compelling business cases to gain support and approval for strategic initiatives.

Requirements for the Head of Corporate Development with a FinTech Company – Charlotte, NC

Educational Background

An MBA from a top-tier business school or an advanced degree in Finance, Economics, or a related quantitative field is strongly preferred. A Bachelor’s degree from a leading institution is required.

Professional Experience

A minimum of 12-15 years of progressive experience in corporate development, investment banking, private equity, or venture capital. Direct experience within the FinTech, software (SaaS), or broader technology sectors is essential.

Transactional Expertise

A proven and extensive track record of successfully leading the full lifecycle of complex M&A transactions, from sourcing to integration. Candidates must be able to demonstrate a history of closed deals where they played a principal role.

Analytical and Financial Acumen

Expert-level proficiency in financial analysis, valuation methodologies, and sophisticated financial modeling. Must possess exceptional quantitative skills and a keen attention to detail.

Strategic Mindset

The ability to think strategically and creatively, connecting market trends and competitive dynamics to actionable corporate strategy. You must be able to see the bigger picture beyond a single transaction.

Leadership and Influence

Demonstrated ability to lead, influence, and collaborate effectively with senior executives and cross-functional teams in a fast-paced, dynamic environment. Strong executive presence and the ability to build consensus are critical.

Communication and Negotiation Skills
