Key Responsibilities of Director, Mergers & Acquisitions with a Consulting Firm – Washington, DC
As the Director of Mergers & Acquisitions, you will be entrusted with a wide range of critical responsibilities, overseeing the full spectrum of the deal process and practice management. Your duties will include:
Strategic Leadership & Business Development
Originate and cultivate new client relationships and M&A advisory opportunities. Act as a primary point of contact for key clients, building trust and positioning the firm as their preferred M&A advisor. Develop and execute a comprehensive business development strategy to expand the M&A practice’s market share and revenue streams.
End-to-End Deal Execution
Lead and manage all phases of the M&A transaction lifecycle, including target screening and identification, strategic and financial analysis, valuation, deal structuring, and negotiation of key terms in definitive agreements.
Due Diligence Oversight
Spearhead the comprehensive due diligence process, coordinating cross-functional teams (including finance, legal, operations, and HR) to meticulously assess potential targets. Identify and quantify key risks, operational synergies, and value creation opportunities.
Financial Modeling & Valuation
Oversee the development of complex financial models, including discounted cash flow (DCF), comparable company analysis, precedent transaction analysis, and leveraged buyout (LBO) models to support valuation and strategic decision-making.
Client Advisory & C-Suite Interaction
Provide senior-level strategic advice to clients on a wide array of M&A-related topics, including buy-side and sell-side strategy, joint ventures, divestitures, and corporate carve-outs. Prepare and deliver compelling, insightful presentations to client executives and boards of directors.
Negotiation & Closing
Act as a lead negotiator on behalf of clients, skillfully navigating complex deal terms and driving transactions to a successful close while maximizing client value and mitigating risk.
Post-Merger Integration (PMI) Strategy
Advise clients on post-merger integration planning and strategy to ensure that anticipated synergies are realized and the transition is seamless. Collaborate with the firm’s PMI specialists to deliver holistic solutions.
Team Mentorship & Development
Lead, mentor, and develop a team of managers, associates, and analysts. Foster a collaborative and high-performance culture, providing constructive feedback, career guidance, and training to cultivate the next generation of M&A leaders.
Thought Leadership & Market Presence
Represent the firm at industry conferences, author white papers, and contribute to publications to enhance the firm’s brand and reputation as a thought leader in the M&A space. Stay abreast of market trends, competitive landscapes, and regulatory changes.
Quality Control & Risk Management
Ensure the highest standards of quality and accuracy in all client deliverables, including valuation reports, confidential information memorandums (CIMs), and board presentations. Implement best practices for risk management throughout the engagement lifecycle.

We are seeking a highly accomplished and motivated professional who meets the following criteria:
Professional Experience
A minimum of 12-15 years of progressive experience in mergers and acquisitions, with a significant portion spent within a management consulting firm, investment bank, corporate development role, or a dedicated M&A advisory practice.
Educational Background
An MBA from a top-tier business school is strongly preferred. A Bachelor’s degree in Finance, Economics, Business, or a related field is required. Professional certifications such as CFA are highly desirable.
Transactional Expertise
A proven and demonstrable track record of successfully leading and closing multiple M&A transactions across various industries. Experience with both buy-side and sell-side advisory is essential.
