Key Responsibilities of EVP, Head of M&A with a Public Technology Firm – San Jose, CA
The EVP, Head of M&A will have end-to-end ownership of the company’s M&A activities. This encompasses the entire deal lifecycle, from strategy formulation to post-merger integration, ensuring that each transaction delivers on its strategic and financial objectives.
Strategy Development & Sourcing:
- Partner with the CEO, CFO, and other executive leaders to develop, refine, and champion the company’s inorganic growth strategy, ensuring tight alignment with overall corporate objectives.
- Conduct comprehensive market analysis to identify emerging trends, competitive threats, and new market opportunities that can be addressed through acquisitions. Stay ahead of dynamic market shifts and evolving mergers and acquisitions trends in the technology sector.
- Build and cultivate a robust and proprietary pipeline of potential acquisition targets, including startups, established companies, and carve-outs.
- Establish and maintain strong relationships with a network of external partners, including investment bankers, venture capitalists, private equity firms, and industry experts, to ensure a consistent flow of high-quality deal opportunities.
Deal Execution & Due Diligence:
- Lead the entire M&A process from initial contact and evaluation through negotiation, due diligence, and definitive agreement signing.
- Oversee the creation of sophisticated financial models, valuation analyses (DCF, comparable companies, precedent transactions), and synergy assessments to build a compelling business case for each transaction.
- Command a cross-functional due diligence process, coordinating teams from finance, legal, product, engineering, sales, marketing, and human resources to conduct a thorough and insightful review of target companies.
- Structure and negotiate all key transaction terms, including price, form of consideration, and definitive agreements (e.g., letters of intent, merger agreements), in partnership with legal counsel.
- Prepare and present detailed investment proposals and recommendations to the executive leadership team and the Board of Directors for approval.
Integration & Leadership:
- Champion the development of a strategic and disciplined post-merger integration (PMI) framework, working closely with a dedicated integration management office and business unit leaders.
- Ensure the successful integration of acquired companies to realize projected synergies, retain key talent, and achieve the strategic rationale of the deal.
- Recruit, mentor, and lead a high-performing corporate development team, fostering a culture of excellence, collaboration, and continuous improvement.
