Key Responsibilities of Chief Legal Officer with an Investment Bank – Los Angeles, CA
Executive Counsel & Strategic Advisory
Serve as the primary legal advisor to the CEO, executive leadership team, and Board of Directors on all legal, regulatory, and compliance matters. Provide strategic legal guidance on business initiatives, corporate strategy, and new product development to ensure alignment with legal requirements and risk appetite.
Corporate Governance
Oversee all corporate governance matters, including board and committee meetings, minutes, resolutions, and corporate record-keeping. Advise the board on its fiduciary duties, conflicts of interest, and best practices in corporate governance. Manage the preparation and review of proxy statements and other governance-related disclosures.
Securities Law & SEC Compliance
Lead all aspects of securities law compliance, ensuring timely and accurate filing of all required reports with the Securities and Exchange Commission (SEC), including Forms 10-K, 10-Q, 8-K, and proxy statements. Provide expert counsel on disclosure issues and public company reporting obligations.
Transactional Leadership
Provide senior legal oversight and support for all major corporate transactions, including mergers, acquisitions, divestitures, joint ventures, and complex financing arrangements. Lead due diligence efforts and negotiate and draft sophisticated transaction agreements.
Regulatory Oversight & Management
Act as the primary liaison with regulatory bodies such as the SEC, FINRA, and other state and federal agencies. Proactively monitor the regulatory landscape for changes affecting the investment banking industry and implement necessary changes to policies and procedures. Ensure the firm’s adherence to a complex web of federal and state securities laws and regulations.
Litigation & Risk Management
Develop and implement a comprehensive risk management strategy. Oversee the management of all litigation, arbitrations, and regulatory inquiries or investigations involving the firm. Select and manage outside counsel effectively to achieve optimal outcomes while controlling costs.
Compliance Program Leadership
Supervise the Chief Compliance Officer and oversee the firm’s global compliance program. Ensure the development and implementation of effective policies, procedures, and training programs to prevent, detect, and address violations of law and regulation.
Commercial Contracts
Oversee the negotiation, drafting, and review of a wide variety of commercial agreements, including client engagement letters, underwriting agreements, vendor contracts, technology licenses, and confidentiality agreements.
Team Leadership & Development
Lead, mentor, and develop a world-class in-house legal and compliance department. Foster a culture of collaboration, integrity, and professional excellence. Manage the department’s budget and resource allocation effectively.
Intellectual Property & Data Privacy
Oversee the management of the firm’s intellectual property portfolio, including trademarks and copyrights. Ensure compliance with data privacy and cybersecurity laws and regulations, including GDPR and CCPA.
Requirements for the Chief Legal Officer with an Investment Bank – Los Angeles, CA
Educational & Bar Admission
A Juris Doctor (J.D.) degree from a top-tier, ABA-accredited law school is required. Must be an active member in good standing of the California State Bar, or eligible to register as a Registered In-House Counsel in California.
Professional Experience
A minimum of 15-20 years of progressive legal experience is required. This must include a combination of experience at a major national law firm and significant in-house experience within the financial services industry, preferably at an investment bank, private equity firm, or asset manager.
Securities & Corporate Law Expertise
Deep and demonstrable expertise in federal securities laws, particularly the Securities Act of 1933 and the Securities Exchange Act of 1934. Extensive experience with corporate governance, M&A, capital markets, and complex corporate transactions is essential.
Leadership & Management Skills
Proven track record of successfully leading and managing a legal and/or compliance department. Must demonstrate the ability to inspire, motivate, and develop a team of legal professionals. Experience managing significant departmental budgets and outside counsel spend.
Business Acumen
Exceptional business and financial acumen with the ability to think strategically and provide practical, business-oriented legal advice. Must be able to understand and contribute to the firm’s business objectives.
Communication & Influence
Superior written and verbal communication skills. Must possess the gravitas and executive presence to effectively advise and influence senior executives and the Board of Directors. Proven ability to build strong relationships with internal and external stakeholders.
Integrity & Judgment
Unquestionable personal and professional integrity, a strong ethical compass, and sound judgment. Must have the ability to handle highly confidential information with discretion and make critical decisions under pressure.
Regulatory Acumen
Substantial experience interacting with financial regulators (SEC, FINRA) is highly desirable. A comprehensive understanding of the regulatory framework governing investment banking is critical.
