Key Responsibilities of General Counsel (Remote)
Legal Strategy & Advisory

Serve as the primary legal advisor to the CEO, executive team, and Board of Directors on all legal matters affecting the company’s operations, strategy, and governance.
Develop and implement comprehensive legal strategies that align with business objectives, manage risk, and promote long-term sustainability and growth.
Provide proactive, practical, and commercially focused legal advice on a wide range of issues, including corporate development, strategic partnerships, M&A activities, and intellectual property.
Monitor and analyze changes in laws and regulations relevant to the company’s industry, advising leadership on potential impacts and necessary adjustments.

Corporate Governance & Compliance

Oversee and ensure adherence to all corporate governance best practices, including board and committee matters, shareholder relations, and internal policies.
Develop, implement, and maintain robust compliance programs, policies, and training initiatives to ensure the company operates within all applicable laws, regulations, and ethical standards.
Manage all regulatory filings and disclosures, ensuring accuracy and timeliness.

Contracts & Transactions

Draft, review, negotiate, and manage a wide array of commercial contracts, including sales agreements, vendor contracts, partnership agreements, licensing agreements, and employment contracts.
Lead legal due diligence and negotiations for M&A, joint ventures, and other strategic transactions, ensuring favorable terms and risk mitigation.
Develop standardized contract templates and processes to enhance efficiency and consistency across the organization.

Litigation & Dispute Resolution

Oversee and manage all aspects of litigation, arbitration, and other dispute resolution matters, working closely with external counsel where necessary.
Develop strategies to minimize litigation risk and effectively resolve disputes in the company’s best interest.
Advise on potential legal risks associated with business activities and propose preventative measures.

Intellectual Property Management

Develop and implement strategies for the protection, enforcement, and management of the company’s intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets.

Risk Management & Internal Investigations

Identify, assess, and mitigate legal and regulatory risks across all business functions.

Requirements for the General Counsel (Remote)

Juris Doctor (JD) degree from an accredited law school.
Active membership in good standing with a state bar, with the ability to qualify as in-house counsel in relevant jurisdictions.
Minimum of 15 years of progressive legal experience, with at least 5-7 years in a senior in-house counsel role (e.g., General Counsel, Deputy General Counsel, or Head of Legal) at a fast-growing company.
Demonstrated expertise in corporate law, M&A, commercial contracts, corporate governance, regulatory compliance, and risk management. Experience with data privacy (GDPR, CCPA) and intellectual property is highly desirable.
Proven ability to provide sound, business-oriented legal advice and to manage complex legal issues independently and effectively in a dynamic environment.
