Key Responsibilities of Director, M&A with a Public Technology Firm – San Jose, CA

As the Director of M&A, you will be a driving force within the corporate development team, tasked with executing the company’s inorganic growth strategy. Your responsibilities will be broad and demanding, requiring a blend of analytical rigor, strategic thinking, and leadership.

Strategy, Sourcing, and Evaluation

  • Develop and refine the M&A strategy in collaboration with senior leadership, ensuring alignment with overall corporate objectives and market trends.
  • Conduct comprehensive market research and landscape analysis to identify emerging technologies, competitive threats, and potential acquisition opportunities.
  • Proactively source and screen potential acquisition targets, building a robust and actionable pipeline of opportunities that support strategic priorities.
  • Establish and cultivate a strong network of external relationships with investment bankers, venture capitalists, private equity firms, and industry executives to enhance deal flow.
  • Lead the initial evaluation and screening of inbound and outbound opportunities, preparing preliminary financial analysis, strategic rationale, and business cases for review by the executive team.

Deal Execution and Due Diligence

  • Lead and manage all aspects of the M&A transaction process, from initial contact and non-disclosure agreements (NDAs) to letters of intent (LOIs), definitive agreements, and closing.
  • Oversee the development of complex financial models, including valuation analyses (DCF, comparable company, precedent transaction), accretion/dilution analysis, and synergy modeling.
  • Serve as the central project manager for all due diligence activities, coordinating and leading cross-functional teams from Legal, Finance, Accounting, HR, Product, Engineering, and Sales.
  • Synthesize vast amounts of information from diligence streams to identify and quantify key risks, liabilities, and opportunities associated with a potential transaction.
  • Structure deal terms and lead negotiations on key aspects of the transaction, including price, form of consideration, and other critical terms in the definitive agreements.
  • Prepare and present detailed investment memoranda and recommendations to the executive leadership team and the Board of Directors, clearly articulating the strategic rationale and financial implications of proposed transactions.

Integration and Post-Merger Success

  • Collaborate closely with the dedicated integration management office (IMO) during the late stages of due diligence to develop a comprehensive integration plan.
  • Provide critical insights and context to the integration team to ensure a smooth transition and the realization of deal synergies and objectives.
  • Champion the importance of thoughtful and well-executed integration, understanding that value is ultimately created post-close. You will be expected to be familiar with successful post-merger integration strategies to maximize deal value.
  • Assist in defining key performance indicators (KPIs) and success metrics to track the performance of acquired businesses and the overall success of the M&A program.

Educational & Professional Experience

  • Bachelor’s degree in Finance, Economics, Business, or a related field is required. An MBA from a top-tier institution is highly preferred.
