The VP of Corporate Development will be a central figure in the company’s long-range strategic planning process. Reporting directly to the Chief Strategy Officer, you will be responsible for the full lifecycle of corporate development initiatives, from strategy formulation and target identification to deal execution and post-merger integration. You will operate at the intersection of strategy, finance, and technology, requiring a unique blend of analytical rigor, market intuition, and executive presence. Key Responsibilities of VP, Corporate Development with a Public Technology Firm – Washington, DC
The Vice President of Corporate Development will have a broad and impactful mandate. Your primary responsibilities will include, but are not limited to, the following:
Strategic Growth Leadership
Collaborate with the executive leadership team to define, refine, and execute the company’s inorganic growth strategy. Translate broad corporate objectives into a tangible pipeline of M&A, investment, and strategic partnership opportunities.
End-to-End M&A Execution
Spearhead the entire mergers and acquisitions lifecycle. This includes proactive market screening, target identification and sourcing, strategic and financial evaluation, building sophisticated valuation models, conducting rigorous due diligence across all functional areas (commercial, financial, legal, technical), structuring deals, and negotiating definitive agreements.
Financial Modeling and Valuation
Develop and maintain complex financial models to analyze potential transactions, including accretion/dilution analysis, discounted cash flow (DCF), comparable company analysis, and precedent transaction analysis. Present findings and recommendations in a clear, concise manner to senior leadership and the Board of Directors.
Due Diligence Management
Lead cross-functional teams comprised of internal subject matter experts and external advisors (investment banks, law firms, accounting firms) to conduct comprehensive due diligence on acquisition targets. Synthesize findings to identify key risks, opportunities, and potential synergies.
Deal Negotiation and Structuring
Act as the lead negotiator on behalf of the company for term sheets, letters of intent (LOI), and definitive purchase agreements. Apply creative and strategic thinking to structure deals that optimize value and mitigate risk for the company.
Strategic Investments and Ventures
Identify, evaluate, and execute minority investments in emerging technology companies that align with the company’s strategic roadmap. Manage the portfolio of investments and foster relationships within the venture capital and startup ecosystems.
Partnership and Alliance Development
Identify and cultivate strategic partnerships and alliances that enhance the company’s product ecosystem, open new market channels, or provide access to innovative technologies.
Market and Competitive Intelligence
Continuously monitor the technology landscape, tracking industry trends, competitive dynamics, and disruptive innovations. Provide actionable insights and strategic recommendations to the executive team based on this intelligence.
Post-Merger Integration (PMI) Leadership
Work hand-in-hand with a dedicated integration management office to ensure the successful integration of acquired companies. Develop integration plans that realize targeted synergies, retain key talent, and align with the company’s culture and operational standards.
Executive and Board Communication
Prepare and deliver compelling presentations and detailed reports for the executive team and Board of Directors, articulating the strategic rationale, financial implications, and execution plans for proposed transactions.
Requirements for the VP, Corporate Development with a Public Technology Firm – Washington, DC
We are seeking a candidate with a distinguished career in corporate development or a related field, who possesses the experience, intellect, and leadership qualities necessary to excel in this critical role.
Professional Experience
A minimum of 15+ years of progressive experience in corporate development, investment banking, private equity, or venture capital, with a significant portion of that time focused on the technology sector (e.g., SaaS, enterprise software, cybersecurity, data analytics). Direct experience working within a corporate development team at a publicly-traded technology company is strongly preferred.
Transactional Track Record
Demonstrable and extensive experience leading all aspects of the M&A process, with a proven track record of successfully sourcing, negotiating, and closing multiple complex transactions, both large and small.
Educational Background
An MBA or other relevant advanced degree from a top-tier academic institution is highly preferred. A Bachelor’s degree in Finance, Economics, Business, or a related quantitative field is required.
Exceptional Analytical and Financial Skills
Mastery of financial analysis, valuation methodologies, and sophisticated modeling. The ability to deconstruct complex business models and financials to understand the core drivers of value and risk is essential.
Strategic Acumen
A deep understanding of corporate strategy and the ability to assess how potential transactions fit into the company’s broader strategic objectives. Must be able to think beyond the immediate deal to its long-term implications.
Superior Communication and Presentation Skills
