Role Overview for Director, M&A with a Public Technology Firm – Washington, DC

The Director of M&A will be a key member of the Corporate Development team, reporting directly to the Vice President of Corporate Development. You will be responsible for the end-to-end M&A process, from developing inorganic growth strategies and sourcing potential targets to leading due diligence, negotiating definitive agreements, and supporting post-merger integration. This role requires a blend of sharp analytical skills, strategic thinking, executive presence, and the ability to lead cross-functional teams in a fast-paced, high-stakes environment. You will be the driving force behind transactions that accelerate our client’s product roadmap, expand their market reach, and acquire critical talent and technology. Key Responsibilities of Director, M&A with a Public Technology Firm – Washington, DC

Your responsibilities will be broad and impactful, covering the full lifecycle of M&A activities. You will be expected to provide leadership, deep analytical rigor, and sound business judgment throughout every stage.

Strategy & Sourcing

  • Collaborate with executive leadership and business unit leaders to define and refine the company’s inorganic growth strategy.
  • Conduct in-depth market research and competitive analysis to identify emerging trends, disruptive technologies, and potential acquisition targets in key strategic areas.
  • Develop and maintain a robust pipeline of potential acquisition and investment opportunities.
  • Build and nurture a strong network of external relationships with investment bankers, venture capitalists, private equity firms, and industry executives to ensure a consistent flow of high-quality opportunities.
  • Prepare and present initial assessments and strategic rationale for potential acquisitions to the executive team and Board of Directors.

Due Diligence & Valuation

  • Lead and manage all aspects of the due diligence process for potential acquisitions, coordinating large, cross-functional teams including finance, legal, product, engineering, HR, and sales.
  • Oversee the development of complex financial models, including discounted cash flow (DCF), comparable company analysis, and precedent transaction analysis to support valuation.
  • Employ sophisticated valuation methodologies to determine the appropriate price and structure for potential transactions.
  • Identify and quantify key risks, synergies, and integration challenges, developing mitigation plans in partnership with relevant stakeholders.
  • Synthesize diligence findings into comprehensive reports and presentations for senior leadership, providing clear recommendations and insights.

Transaction Execution

  • Lead the negotiation of key transaction terms and legal documentation, including letters of intent (LOIs), term sheets, and definitive purchase agreements, in close collaboration with internal and external legal counsel.
  • Structure transactions to optimize for financial, tax, and accounting considerations while aligning with strategic objectives.
  • Prepare detailed investment memoranda and presentations for review and approval by the executive management team and the Board of Directors.
  • Manage the transaction closing process, ensuring all conditions precedent are met and the deal is executed flawlessly.

Post-Merger Integration (PMI)

  • Work closely with a dedicated integration management office (IMO) and business unit leaders to ensure the successful integration of acquired companies.
  • Contribute to the development of detailed integration plans, focusing on value capture and the realization of identified synergies.
  • Monitor the performance of acquired businesses post-closing and support the integration team in addressing any challenges that arise.
  • Help establish key performance indicators (KPIs) to track the success of each acquisition against its initial strategic and financial rationale.

Requirements for the Director, M&A with a Public Technology Firm – Washington, DC

We are seeking a highly motivated and experienced professional who possesses a deep understanding of the technology landscape and the intricacies of corporate transactions.

Required Qualifications:

  • Bachelor’s degree in Finance, Economics, Business, or a related field. An MBA from a top-tier institution is strongly preferred.
  • A minimum of 10-12 years of progressive experience in M&A, corporate development, investment banking, private equity, or venture capital.
  • Direct, hands-on experience leading and executing multiple M&A transactions, preferably within the software, SaaS, or broader technology industry.
  • Exceptional financial modeling, valuation, and analytical skills with a high degree of proficiency in Excel and PowerPoint.
