Key Responsibilities of SVP, Head of Corporate Development with a Public Manufacturer – Dallas, TX

The SVP, Head of Corporate Development will have a broad and challenging mandate. Key responsibilities will include, but are not limited to:

M&A Strategy Development & Execution

Collaborate closely with the CEO and executive leadership team to develop, refine, and execute a comprehensive M&A strategy that aligns with the company’s long-term corporate objectives. Proactively identify industry trends, market adjacencies, and disruptive technologies to inform strategic acquisition priorities.

Full-Cycle Deal Leadership

Lead all phases of the M&A process from end-to-end. This includes target identification and screening, strategic and financial evaluation, due diligence, valuation, deal structuring, negotiation of terms, and securing internal and board-level approvals.

Pipeline Development and Relationship Management

Build and maintain a robust and proprietary pipeline of potential acquisition targets. Cultivate and manage strong relationships with a network of investment bankers, private equity firms, venture capitalists, industry executives, and other key influencers to ensure a steady flow of high-quality opportunities.

Advanced Financial Analysis & Valuation

Oversee the creation of complex, detailed financial models and valuation analyses to support investment decisions. This includes Discounted Cash Flow (DCF), Leveraged Buyout (LBO), comparable company analysis, precedent transaction analysis, and accretion/dilution modeling. Ensure analytical rigor and accuracy in all financial assessments.

Cross-Functional Due Diligence Leadership

Command and coordinate comprehensive due diligence efforts, leading internal teams (finance, legal, operations, HR, commercial, technology) and external advisors (law firms, accounting firms, consultants). Synthesize diligence findings into a cohesive risk assessment and present clear recommendations to senior leadership.

Transaction Negotiation & Structuring

Act as the lead negotiator on all key transaction terms and legal documentation, including Letters of Intent (LOIs), term sheets, and definitive purchase agreements. Structure transactions to optimize for financial, tax, and legal considerations, working closely with internal and external legal counsel.

Post-Merger Integration (PMI) Strategy

Champion the critical importance of integration planning early in the deal lifecycle. Collaborate with business unit presidents and functional leaders to develop detailed integration theses and execution plans. A core focus will be on ensuring the strategic rationale of each deal is realized and that value capture is maximized through successful post-merger integration.

Strategic Partnerships and Alliances

Beyond traditional M&A, identify, evaluate, and execute other inorganic growth initiatives, such as joint ventures, minority equity investments, technology licensing agreements, and strategic alliances that can accelerate growth and enhance the company’s competitive advantage.

Market Intelligence & Competitive Analysis

Continuously monitor the competitive landscape, M&A trends, and capital markets. Provide the executive team and Board with actionable intelligence and insights that inform strategic decision-making and identify potential opportunities or threats.

Executive & Board Communication

Prepare and deliver high-impact, persuasive presentations and reports for the executive leadership team and the Board of Directors. Clearly articulate the strategic rationale, financial implications, risks, and opportunities associated with proposed transactions.

Team Leadership & Development

Recruit, mentor, and lead a high-performing corporate development team. Foster a culture of excellence, collaboration, accountability, and continuous professional growth within the function.

Requirements for the SVP, Head of Corporate Development with a Public Manufacturer – Dallas, TX

We are seeking a candidate with a distinguished track record of success and the executive presence to operate effectively at the highest levels of a public corporation.

Executive Experience

A minimum of 15-20 years of progressive experience in corporate development, investment banking, private equity, or a closely related field. At least 7 years in a senior leadership role with direct responsibility for managing an M&A function and team.

Transactional Track Record

A verifiable and extensive track record of successfully leading and closing a variety of M&A transactions, demonstrating expertise across the full deal lifecycle. Experience with both large, transformative deals and smaller, strategic tuck-in acquisitions is highly desirable.

Industry Background

Significant experience in the manufacturing, industrial, or a related B2B sector is strongly preferred. Deep understanding of the operational, commercial, and financial dynamics of these industries is a major asset. Direct experience working within or for a publicly traded company is required.

Educational Background

An MBA from a top-tier business school or an advanced degree in Finance, Economics, or a related discipline is required. A CPA or CFA designation is considered a plus.

Technical Acumen

Deep, hands-on expertise in all facets of corporate transactions, including advanced financial modeling, sophisticated valuation methodologies, complex deal structuring, and rigorous due diligence processes.

Strategic Mindset

The ability to think strategically and holistically, connecting M&A activities to the broader corporate vision. Must be able to analyze markets, identify long-term trends, and formulate a compelling inorganic growth thesis.

Negotiation & Influence

World-class negotiation skills and demonstrated ability to influence and align senior stakeholders, including C-suite executives, board members, and external counterparties. Possesses exceptional executive presence and high emotional intelligence.

Leadership & Management

Proven experience in building, leading, and motivating high-performing teams. A ‘player-coach’ who can provide strategic direction while also being comfortable diving into the details to ensure flawless execution.

Communication Skills

Impeccable written, verbal, and presentation skills. The ability to distill complex financial and strategic concepts into clear, concise, and compelling narratives for a wide range of audiences.

Location

The candidate must be currently based in the Dallas, TX metropolitan area or be willing to relocate.
