Key Responsibilities of VP, Corporate Development, Acquisitions with a Public FinTech – Atlanta, GA

As the VP of Corporate Development, you will orchestrate all facets of the company’s M&A and strategic investment activities. Your responsibilities will be broad and impactful, requiring a blend of strategic planning, financial expertise, and executive leadership.

Strategic Planning & Target Sourcing

Develop M&A Thesis

Collaborate with the executive leadership team to develop and refine the company’s inorganic growth strategy, ensuring M&A priorities are tightly aligned with the overall corporate vision and product roadmap.

Market Landscaping

Conduct comprehensive market research and analysis to identify key industry trends, competitive threats, and emerging opportunities. Maintain a deep understanding of the global FinTech landscape to proactively identify potential acquisition targets.

Pipeline Development

Build and manage a robust and actionable pipeline of potential acquisition and strategic investment opportunities. Cultivate a strong network of relationships with investment bankers, venture capitalists, industry executives, and other key influencers to generate proprietary deal flow.

Initial Screening

Lead the initial evaluation and screening of inbound and outbound opportunities, assessing their strategic fit, financial potential, and cultural alignment with the organization.

Deal Execution & Diligence

Financial Modeling & Valuation

Oversee the creation of complex financial models, including discounted cash flow (DCF), comparable company analysis, and precedent transaction analysis to determine valuation ranges and assess the financial impact of potential transactions.

Due Diligence Leadership

Quarterback the entire due diligence process, leading cross-functional teams from Finance, Legal, Product, Engineering, Sales, and HR. You will be responsible for synthesizing findings, identifying key risks and opportunities, and presenting a comprehensive diligence report to the executive team.

Structuring & Negotiation

Lead the structuring of transactions and the negotiation of key terms in letters of intent (LOIs), term sheets, and definitive purchase agreements. You will be the primary negotiator, responsible for achieving favorable terms while maintaining positive relationships.

Executive & Board Communication

Prepare and present detailed investment theses, valuation analyses, and transaction recommendations to the executive leadership team and the Board of Directors for review and approval.

Post-Merger Integration & Stakeholder Management

Integration Planning

Work closely with a dedicated post-merger integration (PMI) team from the early stages of diligence to develop a comprehensive integration plan. Ensure that key value drivers and synergies identified during the deal process are successfully realized post-close.

Performance Tracking

Establish key performance indicators (KPIs) to monitor the performance of acquired businesses and strategic investments, reporting on progress to the executive team.

Team Leadership

Build, mentor, and lead the corporate development team, fostering a collaborative and high-performance environment.

We are seeking a candidate with a distinguished track record and a specific set of skills and experiences to succeed in this high-impact role.

Required Qualifications:

Experience

A minimum of 12-15+ years of progressive experience in corporate development, investment banking (M&A focus), private equity, or venture capital.

Deal Sheet

A demonstrable and extensive track record of leading and successfully closing multiple M&A transactions, from sourcing to integration. Experience with a variety of deal structures is essential.

Industry Expertise

Deep experience within the Technology sector is mandatory, with a strong preference for specific expertise in FinTech, SaaS, or enterprise software.

Financial Acumen

Expert-level proficiency in financial modeling, valuation methodologies, and deal structuring. You must be able to build and critique complex models with ease.

Education

Bachelor’s degree in Finance, Economics, Business, or a related field is required.

Leadership

Proven experience in a leadership capacity, with the ability to manage cross-functional teams and influence senior executives. Exceptional executive presence and communication skills are paramount.

Preferred Qualifications:

MBA
