Key Responsibilities of VP, M&A Diligence with a Global Investment Bank – Dallas, TX
The Vice President of M&A Diligence will assume a broad range of critical responsibilities, acting as the central command for all due diligence activities on active M&A mandates. Your duties will be both analytical and managerial, requiring a seamless blend of technical expertise and project leadership.
Diligence Process Leadership
Spearhead and manage the end-to-end due diligence process for buy-side and sell-side M&A transactions. This includes developing the overall diligence strategy, creating detailed work plans, setting timelines, and ensuring all milestones are met with precision and accuracy.
Financial Analysis and Modeling
Conduct and oversee in-depth financial due diligence, including quality of earnings analysis, net working capital assessments, debt and debt-like item analysis, and cash flow forecasting. Cross-Functional Team Coordination
Act as the primary liaison between internal deal teams (including industry coverage bankers, legal, and compliance) and external stakeholders. Risk Identification and Mitigation

Reporting and Presentation
Synthesize vast amounts of complex information into clear, concise, and compelling due diligence reports and presentations. Confidently present findings, key risks, and strategic recommendations to senior management, investment committees, and clients to facilitate informed decision-making.
Valuation Support
Collaborate closely with the core M&A team to provide critical inputs for valuation analyses, including discounted cash flow (DCF), comparable company analysis, and precedent transaction analysis. Ensure that diligence findings are appropriately reflected in the valuation model.
Data Room Management
Oversee the management and review of virtual data rooms (VDRs), ensuring a systematic and thorough examination of all provided documentation. Develop and manage detailed request lists and track responses from the target company.

We are seeking a candidate with a proven track record of excellence in a demanding M&A environment. The ideal individual will possess a strong analytical foundation, superior project management skills, and the executive presence to interact effectively with senior stakeholders.
Professional Experience
A minimum of 7-10 years of relevant experience in M&A, with a significant portion dedicated to transaction advisory services or due diligence. Backgrounds in Big 4 transaction services (TAS/FDD), investment banking, private equity, or corporate development are highly preferred.
Educational Background
