Key Responsibilities of Managing Director, Leveraged Finance with a Boutique Bank – Houston, TX
The Managing Director will assume a broad range of responsibilities, encompassing business development, transaction management, and team leadership. Success in this role requires a blend of strategic thinking, technical expertise, and exceptional interpersonal skills.
Deal Origination & Business Development
- Proactively identify, source, and originate new leveraged finance opportunities, including acquisition financing, dividend recapitalizations, growth capital, and refinancings.
- Develop and cultivate a strong, proprietary network of relationships with private equity sponsors, middle-market company executives (CFOs, CEOs), commercial banks, direct lenders, and other financial intermediaries.
- Lead the marketing and pitching of the bank’s debt advisory and placement services, effectively communicating the firm’s value proposition and capabilities.
- Represent the firm at industry conferences, networking events, and client meetings to enhance its brand presence and generate new business leads.
- Maintain a consistent and active deal pipeline, providing regular updates to senior management on market activity and potential opportunities.
Transaction Execution & Structuring
- Lead the end-to-end execution process for all mandated transactions, serving as the primary point of contact for clients and capital providers.
- Oversee the creation of detailed financial models, credit analyses, and enterprise valuations to support financing transactions.
- Develop and evaluate optimal capital structures, advising clients on a range of debt instruments including senior secured loans (revolving credit facilities, term loans), unitranche facilities, second-lien debt, and mezzanine capital.
- Direct the preparation of high-impact marketing materials, including Confidential Information Memorandums (CIMs), lender presentations, and financial models.
- Lead the negotiation of term sheets, commitment letters, and credit agreements with lenders on behalf of clients, ensuring favorable terms and conditions.
- Manage the due diligence process, coordinating with clients, legal counsel, and third-party advisors to ensure a smooth and efficient closing.
Team Leadership & Mentorship
- Recruit, train, and develop a team of high-caliber junior banking professionals (Vice Presidents, Associates, and Analysts).
- Foster a culture of excellence, collaboration, and high performance, providing clear direction, constructive feedback, and mentorship to team members.
- Manage deal team staffing, workflow, and resource allocation to ensure flawless execution and high-quality work product.

Candidates must possess a distinguished track record in leveraged finance and the leadership qualities necessary to build a successful practice. The following qualifications are essential:
Experience
A minimum of 15 years of progressive experience in investment banking, with a deep specialization in leveraged finance, debt capital markets, or financial sponsors coverage. Prior experience at the Director or Managing Director level is required.
Track Record
A verifiable and impressive track record of successfully originating and closing a significant volume of leveraged finance transactions, particularly for private equity-backed companies. Experience with complex leveraged buyout (LBO) transactions is critical.
Network
A deep, portable, and active network of relationships with private equity firms, lenders, and corporate executives, particularly within the Texas and broader Southwest region.
Technical Skills
Expert-level proficiency in credit analysis, financial modeling, valuation, and the structuring of complex debt instruments. A thorough understanding of the leveraged loan market, credit agreements, and syndication processes is mandatory.
Leadership Acumen

Communication Skills
Exceptional written and verbal communication skills, with the ability to articulate complex financial concepts clearly and persuasively in both client pitches and internal discussions.
Education
