Key Responsibilities of VP, M&A with a Large Insurance Company – Chicago, IL

The Vice President of M&A will have end-to-end ownership of the company’s acquisition activities. Your responsibilities will be broad and strategic, encompassing the full deal lifecycle from strategy formulation to post-merger integration.

M&A Strategy Development & Sourcing

  • Collaborate closely with the executive leadership team and Board of Directors to define, refine, and champion the company’s M&A strategy, ensuring tight alignment with long-term corporate objectives and financial goals.
  • Conduct comprehensive market research and analysis to identify emerging industry trends, disruptive technologies (Insurtech), competitive dynamics, and attractive market segments for expansion.
  • Develop and maintain a robust, proactive pipeline of potential acquisition targets, ranging from bolt-on acquisitions to potentially transformative transactions.
  • Proactively cultivate and manage a broad network of relationships with investment bankers, private equity firms, industry executives, and other intermediaries to source proprietary and advantaged deal flow.
  • Present strategic rationale and business cases for potential acquisition landscapes and specific targets to senior leadership.

Transaction Execution & Management

  • Lead the entire M&A process from initial screening and preliminary valuation through to negotiation, definitive agreement, and successful closing.
  • Oversee the development of sophisticated and highly detailed financial models, including discounted cash flow (DCF), accretion/dilution, comparable company analysis, and precedent transaction analysis, all specifically tailored to the nuances of insurance company valuation (e.g., statutory accounting, embedded value).
  • Direct and manage cross-functional due diligence teams, coordinating the efforts of internal departments (Finance, Actuarial, Legal, Operations, IT, HR) and external advisors (legal counsel, accounting firms, consultants).
  • Lead the structuring and negotiation of all transaction-related legal documentation, including confidentiality agreements, letters of intent (LOIs), and definitive purchase agreements, in close partnership with internal and external legal counsel.
  • Prepare and deliver compelling, data-driven presentations and recommendations to the executive management team and the Board of Directors at each stage of the transaction process.

Post-Merger Integration (PMI)

  • Champion the critical importance of integration planning early in the deal process, developing comprehensive PMI strategies to ensure the realization of targeted cost and revenue synergies.
  • Work hand-in-hand with business unit leaders and a dedicated integration management office (IMO) to oversee the seamless execution of integration plans post-close.
  • Establish key performance indicators (KPIs) to track integration progress against strategic objectives, timelines, and financial targets, providing regular updates to senior leadership.
  • Focus heavily on cultural integration and change management to foster a unified organization, retain key talent, and maintain operational momentum.

We are seeking a seasoned and highly credible leader with a proven track record of success in executing complex M&A transactions within the insurance industry.

Educational & Professional Credentials

  • A Bachelor’s degree in Finance, Economics, Business Administration, or a related quantitative field is required.
  • An MBA from a top-tier business school or a related Master’s degree is strongly preferred.
  • Professional designations such as Chartered Financial Analyst (CFA) or Certified Public Accountant (CPA) are highly valued.

Professional Experience

  • A minimum of 12-15 years of progressive experience in a demanding M&A environment, such as corporate development, investment banking, or private equity.

Crucially, a significant portion of this experience must be directly within or with a dedicated focus on the insurance industry.

A demonstrable track record of successfully leading and closing multiple insurance M&A transactions is a non-negotiable requirement.

  • Broad experience across various insurance sub-sectors (e.g., Property & Casualty, Life & Annuities, Health, Reinsurance, Brokerage, Insurtech) is a significant advantage.
  • Proven experience managing the entire deal lifecycle, from strategic sourcing and rigorous evaluation through to complex negotiation, closing, and thoughtful integration.

Technical & Strategic Skills

  • Expert-level proficiency in financial analysis, valuation methodologies, and complex financial modeling, with a deep understanding of insurance-specific accounting (Statutory and GAAP), capital structures, and key performance metrics.
  • A deep and nuanced understanding of the legal and regulatory frameworks governing the insurance industry and M&A transactions, including experience navigating state insurance department approvals.
  • Exceptional negotiation skills and executive presence, with the proven ability to influence and build consensus among senior internal and external stakeholders.
  • Outstanding project management capabilities, with a demonstrated ability to lead multiple complex projects simultaneously in a high-pressure, deadline-driven environment.
