Key Responsibilities of VP, Technology Due Diligence with a Consulting Firm – Boston, MA

Engagement Leadership

Lead and manage the entire lifecycle of technology due diligence engagements for both buy-side and sell-side M&A transactions. This includes project scoping, team management, client communication, and final deliverable ownership, ensuring projects are completed on time, within budget, and to the highest standard of quality.

Comprehensive Technical Assessment

Conduct deep-dive evaluations of target companies’ technology ecosystems. This involves scrutinizing IT infrastructure (cloud, on-premise, hybrid), enterprise architecture, software development practices (Agile, DevOps), application portfolios (ERP, CRM, bespoke software), data architecture and governance, and cybersecurity posture. Your assessment will form the backbone of the investment committee’s understanding of technological risk and opportunity.

Risk & Opportunity Identification

Expertly identify and articulate key technology-related risks, such as technical debt, lack of scalability, poor security controls, or talent gaps. Concurrently, you will uncover strategic opportunities for value creation, including modernization, platform consolidation, automation, and the leveraging of emerging technologies like AI and machine learning.

Financial & Strategic Analysis

Quantify the financial implications of your findings. This includes developing detailed cost models for IT integration, system remediation, carve-outs, and future-state technology investments. You will translate technical findings into tangible EBITDA adjustments and capital expenditure forecasts that are critical for accurate deal valuation.

Executive Communication & Reporting

Develop and present comprehensive, C-suite level reports that clearly communicate complex technical issues to a non-technical audience, including PE investment committees and corporate executives. Your ability to tell a compelling story with data and provide clear, defensible recommendations is paramount.

Post-Acquisition Strategy

Collaborate with clients to develop post-close technology strategies and 100-day integration plans. You will create actionable roadmaps that align technology initiatives with the overall investment thesis to ensure a smooth transition and accelerate value creation.

Team Mentorship & Development

Act as a mentor and coach for junior members of the practice, including Managers and Associates. You will guide their professional development, provide constructive feedback, and help cultivate the next generation of technology diligence leaders within the firm.

Business Development & Thought Leadership

Support the firm’s growth by cultivating strong relationships with private equity clients, identifying new business opportunities, and contributing to proposals and pitches. You will also be encouraged to act as a thought leader, contributing to white papers, industry events, and internal knowledge sharing.

Requirements for the VP, Technology Due Diligence with a Consulting Firm – Boston, MA

Educational Background

A Bachelor’s degree in Computer Science, Information Systems, Engineering, or a related technical field is required. A Master’s degree or an MBA is highly preferred.

Professional Experience

A minimum of 12-15 years of progressive experience in technology, with a significant portion spent in roles related to IT strategy, enterprise architecture, technology consulting, or a senior IT leadership position (e.g., Director, CTO).

M&A Diligence Expertise

Demonstrable, hands-on experience leading a minimum of 20-30 technology due diligence projects within a fast-paced consulting or corporate development environment. Deep familiarity with the M&A lifecycle and the specific needs of private equity clients is essential.

Broad Technical Acumen

Deep expertise across a wide range of technology domains, including:

  • Cloud Platforms (AWS, Azure, GCP) and infrastructure-as-code.
  • Modern Software Architecture (microservices, APIs, containerization) and SDLC methodologies (Agile, Scrum, DevOps).
  • Cybersecurity frameworks (e.g., NIST, ISO 27001) and risk assessment methodologies.
  • Enterprise Applications (e.g., SAP, Salesforce, Oracle) and their integration patterns.
  • Data Management, Analytics, and Business Intelligence.

Leadership & Communication Skills

Proven ability to lead and manage project teams effectively. Exceptional executive presence, with outstanding written and verbal communication skills. Must be comfortable and credible presenting complex findings to senior executives and investment professionals.

Analytical & Problem-Solving Skills
